Terms of Service

1. Acceptance of Terms

By accessing or using VertexMath at vertexmath.ca (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms form a binding agreement between you and VertexMath, a registered sole proprietorship in Ontario, Canada, with its principal place of business at 538 Via Campanale Avenue, Nepean, Ontario, Canada. 2. Description of Service

VertexMath is an interactive online mathematics learning platform designed for high school students in Ontario. We offer:

  • Explorer (free): daily practice and a limited number of Socratic AI tutor hints at no cost, with no payment details required
  • Vertex Pro (paid): expanded access, including more Socratic AI coaching, offered as a recurring subscription or a fixed-term pass as shown at checkout

3. Eligibility

You must be at least 13 years of age to use the Service. By creating an account, you confirm that you are 13 or older. If you are under 18, you represent that your parent or legal guardian has reviewed and consented to these Terms on your behalf. We reserve the right to terminate accounts found to belong to users under 13.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current information and to notify us promptly of any unauthorized access or breach at contact@vertexmath.ca.

5. Acceptable Use

You agree not to:

  • Share your account credentials with others
  • Copy, redistribute, or resell any course content
  • Attempt to reverse-engineer, hack, or disrupt the Service
  • Submit false information or impersonate any person
  • Use the Service for any unlawful purpose
  • Use the Service, including the AI tutor, to commit academic dishonesty, such as submitting AI-generated work as your own where your school does not allow it, or using it during a test or exam

VertexMath reserves the right to suspend or terminate accounts that violate these rules, without prior notice.

6. Intellectual Property

All content on the Service — including lessons, exercises, explanations, graphics, and software — is the exclusive property of Vertex Math or its licensors, protected under Canadian copyright law. You are granted a limited, non-exclusive, non-transferable license to access content for personal, non-commercial educational use only. No other rights are granted.

7. Payments and Subscriptions

Payments are processed securely by Stripe Inc. All prices are listed in Canadian dollars (CAD). Subscriptions renew automatically unless cancelled before the renewal date. You may cancel a subscription at any time through your account settings; access continues until the end of the current billing period. For our refund policy, see our Refund Policy.

8. Service Availability

We strive to maintain reliable access to the Service but do not guarantee uninterrupted availability. We may perform maintenance, updates, or modifications at any time without notice. VertexMath is not liable for any loss resulting from temporary unavailability of the Service.

9. Limitation of Liability

To the maximum extent permitted by Ontario and Canadian law, VertexMath's total liability for any claim arising from use of the Service shall not exceed the amount you paid to VertexMath in the twelve (12) months preceding the claim. VertexMath is not liable for indirect, incidental, or consequential damages of any kind.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available." VertexMath makes no warranties, express or implied, regarding accuracy of content, fitness for a particular purpose, or specific educational outcomes.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada. Any dispute arising under these Terms shall be submitted to the exclusive jurisdiction of the courts of Ontario.

12. Changes to These Terms

We may update these Terms at any time. We will provide reasonable notice of material changes by email or by a notice posted on the Service. Continued use after the effective date of any changes constitutes your acceptance of the updated Terms.
